You ("Barber") are an independent contractor using the BNR Platform operated by Barber Network Registry LLC ("BNR"). Nothing in this Agreement creates an employment, agency, joint venture, or partnership relationship between you and BNR. You are solely responsible for all aspects of your barbering business including service quality, health and safety compliance, and tax obligations.
By creating a Barber account, you represent, warrant, and covenant that:
BNR reserves the right to request proof of licensure at any time. Failure to provide proof within 5 business days of request may result in account suspension. BNR disclaims all liability for services provided by unlicensed individuals using the Platform.
All Barbers on paid plans are required to complete a one-time identity verification at signup. Verification is conducted through Stripe Identity and includes photo ID capture, selfie liveness confirmation, and state barber license validation.

All verification fees are non-refundable once initiated.
You have 7 calendar days from subscription activation to complete verification. Your subscription bills during this window regardless of verification status. Failure to complete verification within 7 days results in dashboard restriction. Subscription fees for the lapsed period are non-refundable.

Subscriptions auto-renew on your billing date using your connected payment method. You may cancel at any time from your dashboard; cancellation takes effect at end of current billing period. No partial refunds for unused subscription time. No free trials. Annual Verified plan is a 12-month commitment with no prorated refund for unused months. Failure to meet booking quota for two consecutive months may result in automatic downgrade to the next tier below.
For every completed booking marked as "Showed" using Wallet (BNR Credit) or Card payment methods:

You do not pay card processing fees on bookings. Your net per booking is identical whether the Client pays by wallet or by card. The only payment-processor fees you bear are payout fees (see Section 4.3).
Example: A $35 service with a $7 tip. BNR platform fee = $35 x 2.75% = $0.96. Your net = $35.00 - $0.96 + $7.00 tip = $41.04 before payout fees.
For bookings created through the standard booking flow with payment method set to "Cash" (the client pays you directly in cash at the appointment), a non-refundable $0.95 deposit is charged to your Barber wallet at the time the booking is confirmed.

This applies only to Cash payment bookings made through the standard client-facing booking flow.
The Manual Booking feature allows you to record offline cash transactions in your dashboard.

Example: A manual $30 cash haircut. Fee at Showed = max($0.95, $30 x 0.5%) = $0.95. Your net = $29.05. A manual $200 cut: Fee at Showed = max($0.95, $200 x 0.5%) = $1.00. Your net = $199.00.
Tips received in cash on Manual bookings are not recorded in the Platform and not subject to any Platform fee.
Monthly cancellation limit: You may cancel up to 10 Manual Cash bookings per calendar month. Upon reaching this limit, the Manual Booking feature is automatically suspended on your dashboard for the remainder of the month. The feature reactivates on the 1st of the following month.
Tax responsibility: Cash transactions recorded in Manual Cash bookings do not pass through Stripe and will not appear on any 1099-K. You are solely responsible for reporting this income to applicable tax authorities. Consult your tax advisor.

Excessive Barber cancellations may result in ranking reduction, account review, or suspension at BNR's sole discretion. For standard Cash payment bookings, see Section 4.2.1 for cancellation handling. For Manual Cash bookings, see Section 4.2.2.
BNR initiates payout requests to Stripe promptly upon your request through the Platform. Your net payout will be sent to your connected Stripe Connect account for transfer to your bank.
BNR's responsibility is limited to initiating the payout request to Stripe. BNR is not responsible for: Stripe processing or hold times; your bank's processing times; failed or returned payouts due to incorrect banking information you provided; payout holds initiated by Stripe for compliance or fraud review; delays caused by force majeure events; or holds triggered by expired license status.
You are responsible for maintaining accurate and current banking information in your Stripe Connect account.
By connecting your bank account through the Platform, you authorize BNR to initiate payouts to your connected Stripe account on your behalf. You agree to Stripe's Connected Account Agreement available at stripe.com/connect-account/legal. BNR's ability to initiate payouts is contingent on your Stripe account remaining in good standing.
BNR does not custody funds. All amounts shown on your dashboard as "available balance" reflect funds held by Stripe on your behalf via Stripe Connect. BNR is not a bank and does not hold funds in trust or fiduciary capacity.
You are solely responsible for all federal, state, and local taxes applicable to your earnings from the Platform. Stripe will issue IRS Form 1099-K directly to Barbers whose annual earnings meet Stripe's reporting thresholds. BNR does not issue tax forms beyond what Stripe provides and does not withhold income taxes, Social Security, or Medicare from your payouts.
You are responsible for making estimated tax payments as required by law. BNR does not provide tax advice. Cash payments received from clients at the appointment are not processed by Stripe and will not appear on your 1099-K. You are solely responsible for tracking and reporting such cash income to applicable tax authorities.
The Finance tab displays estimates calculated from Platform booking records. These displays are not certified accounting records and may not match your Stripe reports or bank statements exactly. Reports exported from the Finance tab should be reconciled with Stripe's official reports before any tax filing.
You are responsible for maintaining accurate availability settings on the Platform. You must honor all confirmed bookings. BNR is not liable for bookings that occur due to inaccurate availability settings you control.
You are solely responsible for the quality, safety, and outcome of all barbering services you provide. BNR does not guarantee service quality and is not a party to any service dispute between you and a Client. BNR may, at its sole discretion, facilitate dispute resolution but is not obligated to do so and is not liable for the outcome.
You agree to indemnify and hold harmless BNR from any claims, damages, or liabilities arising from barbering services you provide, your use of the Platform, or your violation of this Agreement or any applicable law.
You agree not to:
Violations may result in account suspension or termination at BNR's sole discretion.
By submitting profile content (photos, descriptions, service information, AI-generated summaries) to the Platform, you grant BNR a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content for the purpose of operating and promoting the Platform. You retain ownership of your submitted content. This license terminates when you close your account, except for content cached by third parties outside BNR's control.
The Platform displays affiliate commerce features. When Clients or Barbers complete purchases through these features with third-party retailers, BNR may receive affiliate commissions. Barbers do not receive a portion of affiliate commissions earned by BNR.
This Agreement remains in effect as long as you maintain an active account on the Platform. Either party may terminate: you by closing your account from the dashboard; BNR by providing notice of account termination.
BNR may terminate your account immediately and without prior notice for: material breach of this Agreement or the Terms of Service; fraudulent activity; providing false information during verification; conduct that endangers clients or other users; lapsed licensure not cured within grace period; or regulatory requirements.
Upon termination: BNR will process all pending payouts for completed bookings per normal schedule; your listing will be removed from the Platform; subscription and verification fees for the current period are non-refundable.
BNR's maximum liability to you under this Agreement is limited to the total subscription fees paid by you to BNR in the 30 days immediately preceding the claim giving rise to liability. BNR is not liable for lost profits, lost revenue, lost clients, or any indirect, consequential, incidental, special, or punitive damages, even if BNR has been advised of the possibility of such damages.
BNR may modify this Merchant Agreement at any time. For material changes -- particularly fee changes -- BNR will provide at least 30 days advance written notice via email. For fee changes, you will be required to re-acknowledge acceptance before the change takes effect. Continued use of the Platform following notice constitutes acceptance of modified terms.
This Agreement is governed by the laws of the State of Idaho. All disputes shall be resolved per the arbitration clause in the BNR Terms of Service, incorporated herein by reference, including individual binding arbitration with the American Arbitration Association, class action waiver, and jury trial waiver.
